
Premium Member Acknowledgment, Consent & Release Agreement
Austin Indian Women in Business Inc. Effective Date: 1 January 2025
This Premium Member Acknowledgment, Consent, and Release Agreement (“Agreement”) is entered into between the undersigned individual and/or business (“Member” or “Participant”) and Austin Indian Women in Business Inc., a Texas-based 501(c)(3) nonprofit organization (“AIWB”), for the purpose of outlining the terms, disclaimers, rights, and responsibilities associated with participation in AIWB’s Premium Membership Program and related initiatives.
1. SCOPE OF PREMIUM MEMBERSHIP
By enrolling as a Premium Member of AIWB, the Participant gains access to a range of benefits and programming which may include, but are not limited to:
Participation in Utsav Melas (community trade fairs and business showcases)
Eligibility for brand features across AIWB’s website, newsletters, and social media platforms
Invitations to networking events, vendor summits, and leadership workshops
Access to podcast appearances, interviews, and digital storytelling platforms
Directory listings and market exposure opportunities
Business pitch events, mentorship sessions, grant workshops, and internships
Participation in each program remains an individual decision, and availability may be subject to curation, scheduling, or eligibility determined at AIWB’s sole discretion.
2. CONSENT TO PARTICIPATION AND PUBLICITY RELEASE
2.1. Member grants AIWB permission to photograph, video record, audio record, and publicly display their name, likeness, voice business logo, brand identity, and testimonials for purposes including:
Social media features
Podcast recordings and interviews
Event recaps and promotional content
Nonprofit impact storytelling
Community reports and grant submissions
2.2. Member waives any right to compensation or royalties for the use of such media and agrees that AIWB holds full license to republish, repurpose, or redistribute content for nonprofit purposes.
2.3. Members may opt out of public-facing content or media use by submitting a written request to contact@aiwbcommunity.com prior to publication. AIWB will make best efforts to comply with such requests where feasible.
3. UTSAV MELA & EVENT PARTICIPATION
3.1. Member understands that participation in Utsav
Melas, pop-up events, vendor fairs, or physical exhibits is coordinated by AIWB as a community-building platform. AIWB is not a commercial agent and does not engage in sales, procurement, or vendor negotiations.
3.2. Member agrees to:
Manage their own inventory, setup, payment systems, and event logistics
Comply with all local laws, permits, and vendor requirements
Indemnify AIWB from liability related to product sales, customer disputes, loss, theft, or damage of goods
3.3. AIWB may provide shared marketing, media coverage, or branding support but does not guarantee sales, leads, or attendance outcomes.
4. PODCASTS, INTERVIEWS & FEATURES
4.1. Member may be invited to participate in AIWB- hosted podcasts, live interviews, or written featurettes as part of storytelling and visibility campaigns.
4.2. AIWB reserves the right to:
Edit content for clarity, timing, and formatting
Feature selected members based on community impact, availability, and editorial focus
Retain copyright and creative control over published content
4.3. Member agrees to participate in good faith and provide accurate information. All opinions
expressed by the Member in interviews or podcasts are their own and do not necessarily reflect
the views of AIWB.
5. INVENTORY, SUPPLIER & SERVICE NETWORKING DISCLAIMER
Member acknowledges that AIWB may facilitate introductions or networking between members and third-party vendors, suppliers, or service providers. However:
AIWB does not act as an agent, broker, or guarantor for any third-party transaction
AIWB makes no warranties regarding product quality, pricing, professionalism, or availability
All negotiations, contracts, payments, and risk assessments are the sole responsibility of the parties involved
AIWB shall not be held liable under any legal or equitable theory, including without limitation contract, tort, strict liability, or otherwise, for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from such connections, business transactions, or engagements facilitated through or associated with AIWB. This includes but is not limited to claims of negligence, breach of duty, misrepresentation, or failure to act.
6. NON-ENDORSEMENT CLAUSE
6.1. Inclusion of a member, business, vendor, or brand on AIWB platforms, directories, or programs does not constitute an endorsement, certification, or partnership unless expressly agreed in writing.
6.2. All members are responsible for upholding ethical business practices and compliance with
applicable laws.
7. MEDIA, BRAND & CREATIVE CONTENT PROTECTION
7.1. All AIWB-branded content (graphics, templates, event names, materials, logos, podcast audio, video interviews, creative assets) are intellectual property of AIWB and may not be:
Copied or repurposed without permission
Used for commercial marketing outside of AIWB participation context
Distributed with misleading affiliations
7.2. Members must seek prior approval to use AIWB's name, logo, or branding for third-party
promotions, sponsorships, or advertising materials.
8. LIMITATION OF LIABILITY & INDEMNIFICATION
8.1. Member expressly agrees that participation in AIWB programs is at their sole risk and responsibility. AIWB and its officers, directors, staff, volunteers, and partners shall not be liable for any damages of any kind, including but not limited to:
Participation in events or programs
Media exposure and publicity
Networking or third-party business interactions
Loss of sales, business opportunities, or reputational harm
Errors, omissions, or interruptions in any AIWB service or communication
Any indirect, special, incidental, or consequential damages, including economic loss, loss
of profit, loss of data, or reputational damage
8.2. Member agrees to indemnify, defend, and hold harmless AIWB, its affiliates, officers, directors, employees, volunteers, and agents from any and all claims, liabilities, losses, damages, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with the Member's participation, representations, or business dealings conducted through AIWB platforms or events.
9. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement shall be governed by the laws of the State of Texas, and any disputes shall be exclusively resolved in the courts of Travis County, Texas. Any arbitration or dispute resolution shall be conducted in English and under nonprofit governance standards.
10. ACKNOWLEDGMENT AND ACCEPTANCE By enrolling as a Premium Member and participating in AIWB initiatives, I acknowledge that:
I have read, understood, and voluntarily agreed to the terms and conditions outlined above.
I understand that AIWB is a nonprofit organization and does not assume fiduciary or commercial responsibility for member businesses.
I will comply with all guidelines, waivers, and expectations associated with my participation.
I am authorized to act on behalf of my business, where applicable.
I agree to the terms of this Premium Member Acknowledgment, Consent & Release Agreement.
